1. The Services

DineCall AI provides an AI phone-ordering host and an all-in-one ordering platform for restaurants — including online and dine-in ordering, a real-time kitchen order board, customer CRM, menu management, analytics, and a marketing website. Features may change, improve, or be discontinued over time.

2. Accounts and eligibility

You must be at least the age of majority in your jurisdiction and able to enter into a contract. You are responsible for the accuracy of the information you provide, for keeping your account credentials secure, and for all activity under your account.

3. Acceptable use

You agree not to:

• Use the Services for any unlawful, harmful, or fraudulent purpose
• Interfere with or disrupt the Services, or attempt to gain unauthorized access to them
• Reverse engineer, copy, or resell the Services except as permitted by law
• Upload content that infringes the rights of others or violates applicable law

4. Fees

Paid plans are billed as described at the time of purchase (for example, a per-order rate). Unless required by law or expressly stated otherwise, fees are non-refundable. We may change pricing on a going-forward basis with reasonable notice.

5. Customer data and your responsibilities

You are responsible for the data you and your customers provide and for complying with the laws that apply to your business — including those governing recorded calls, marketing messages, and customer consent. You grant us the rights needed to process this data in order to provide the Services.

6. Intellectual property

The Services, including the software, design, and content we provide, are owned by DineCall AI and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services while these Terms are in effect.

7. Third-party services

The Services may integrate with third-party services such as telephony, payment, or point-of-sale providers. We are not responsible for third-party services, and your use of them is governed by their own terms.

8. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, DineCall AI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits or revenues. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim arose.

10. Indemnification

You agree to indemnify and hold DineCall AI harmless from claims, losses, and expenses arising out of your use of the Services, your content or data, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or as needed to protect the Services. Provisions that by their nature should survive termination will survive.

12. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in British Columbia have exclusive jurisdiction, subject to any mandatory consumer-protection rights in your place of residence.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date. Continuing to use the Services after changes take effect means you accept the updated Terms.
